We are looking for a Corporate Counsel who will join our Legal team in Marysville, Ohio.

This position will be based at The Scotts Miracle-Gro world headquarters in Marysville, a suburb of Columbus, OH.  Not familiar with Columbus? Visit columbusregion.com/columbus-2020/

The Corporate Counsel will be part of the Company’s Legal team with the primary responsibility of providing generalist legal support to the Company’s management, business units and more senior attorneys in a wide range of legal and strategic issues across the Company.  

What you’ll do in this role:

  • Provide legal advice and services for one or more business units, advising them on a wide variety of matters, including general business, commercial and transactional matters, M&A activity and compliance-related projects

  • Draft, negotiate and support the drafting and negotiation of complex commercial and transactional agreements

  • Support the Company’s Compliance function with legal and factual research and analysis relating to the Company’s business operations

  • Work with other Company attorneys, Company departments and third parties on various types of corporate transactions; research legal and factual issues, draft and review contracts and other legal documents

  • Liaise with the various Company departments to solve cross-functional issues and challenges

  • Lead and/or support Company responses to federal, state and local inquiries and regulations, including researching and preparing documents, collecting and reviewing records, and working with business colleagues   

  • Research factual and legal issues and draft legal memos

  • Occasionally manage outside counsel

What you’ll need to be successful:

This position will require an attorney who has strong legal and business analytical ability, a collaborative spirit, the ability to effectively implement guidance and direction from senior attorneys and to comfortably build partnerships with colleagues and business clients.

  • 2-6 years of experience in a corporate legal department and/or a law firm, with significant involvement in contracts, commercial transactions, compliance, and general business and corporate law matters

  • Juris Doctor degree from an accredited law school and membership in good standing in at least one state bar 

  • Experience in advising business managers on legal and strategic aspects of business operations and transactions

  • Solid knowledge of commercial law

  • Work collaboratively with the company’s management, attorneys, associates and outside counsel
